Distinguish the second edition’s legal explanations from subsequent enforcement policies. The December 2024 FEPA addendum addresses foreign officials’ demands for and receipt of bribes. Effective compliance programs: practical summary of the second edition
This site has summarized and edited Chapter 5 of the DOJ/SEC FCPA Resource Guide, second edition (July 2020). This is an editorial summary, rather than a complete reproduction. The second edition adds investigation, root-cause analysis and remediation of misconduct to the previous ten areas.
- Management commitment: Make leadership support and anti-corruption expectations visible in actual decisions.
- Code and procedures: Maintain understandable rules and approval procedures suited to roles and locations.
- Oversight and resources: Provide authority, independence, management access and sufficient staffing and funding.
- Risk assessment: Prioritize controls using risks associated with countries, transactions and third parties.
- Training and advice: Tailor training to participants and provide accessible advice for everyday decisions.
- Incentives and discipline: Reward compliant conduct and respond consistently to violations at every organizational level.
- Third-party controls: Review engagement reasons, actual services and payment justification, including after appointment.
- Reporting and investigation: Provide protected reporting channels and document responses and investigation results.
- Testing and improvement: Reassess controls and the program as operations and requirements change.
- Acquisition integration: Assess acquisition risks and integrate training and internal controls after completion.
- Investigating and remediating misconduct: Investigate concerns thoroughly and use root-cause findings to improve policies, training and controls.
These eleven areas differ from the eleven corporate-prosecution factors in Justice Manual 9-28.300. Consult current enforcement policies when assessing disclosure, cooperation, remediation and victims’ interests.
