Yohei Kijima Speaks on Healthcare Corporate Governance and the Business Judgment Rule in the AI Era

On April 21, 2026, Attorney Yohei Kijima delivered a presentation at the monthly meeting of the Japan Pharmaceutical Industry Legal Affairs Association (“IHOKEN”) entitled:

“Healthcare Corporate Governance and the Business Judgment Rule (BJR) in the AI Era.”

The presentation examined how the increasing integration of AI into corporate decision-making may affect governance and the application of the Business Judgment Rule, with particular attention to accountability, transparency, human oversight, and data and model governance.

From the perspective of healthcare companies, the presentation also explored how legal frameworks for demonstrating the reasonableness of AI-assisted corporate decisions can be connected with compliance governance designed to preserve organizational integrity, and the evolving role of legal and compliance functions in the AI era.
